Metamucil Beautify Your Heart Sweepstakes and Instant-Win Game

1. Promotion Timing: The Metamucil® Beautify Your Heart Instant Win and Sweepstakes Promotion (the "Promotion") consists of the following:
   1. The Sweepstakes begins 12:00 p.m. ET 12/1/2008 and ends 12:00 p.m. ET 3/31/2009 (the "Sweepstakes Entry Period").
   2. The Instant Win Game begins 12:00 p.m. Eastern Time ("ET") 12/1/2008 and ends 12:00 p.m. ET 6/30/2009 (the "Instant Win Game Entry Period").
2. Eligibility: The Promotion is open only to legal residents of the 50 United States, including the District of Columbia, who are 18 years of age or older as of date of entry. Employees of The Procter & Gamble Distributing LLC (the "Sponsor"), their respective parents, subsidiaries, divisions, affiliates, suppliers, distributors and advertising, promotional and judging agencies, including Don Jagoda Associates, Inc. (the "Administrator") and their immediate family members (spouses, parents, children, and siblings and their spouses) and household members of each (whether related or not), are not eligible to participate or win. Void outside the 50 United States and the District of Columbia or where prohibited by law. All federal, state and local laws and regulations apply.
3. How to Participate in the Promotion: Beginning 12:00 p.m. ET on 12/1/2008, visit www.beautifyyourheart.com (the "Promotion Website") and register for the Metamucil Beautify Your Heart program by completing all required information requested on the online form. To enter the Sweepstakes: During the Sweepstakes Entry Period, each time you visit the Promotion Website and log into your account (set up during the registration process), you will automatically receive one entry into the Sweepstakes and will also be entered into the Second Chance Drawing to award any unclaimed Instant Win Prizes (if any). Limit one entry per person per day. To Play the Instant Win Game: During the Instant Win Game Entry Period, visit the Promotion Website and log into your account to scratch off the specified game area indicated on screen to see if you reveal an instant win message. If you have won an Instant Win prize, you will be notified on-screen with details on how you will receive your prize. Limit one game play per person per day during the Instant Win Game Entry Period. For purposes of the Promotion, a “day” begins 12:00:00 am ET and ends 11:59:59 pm ET. Any attempt by any entrant to obtain more than the stated number of plays by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's plays and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Normal Internet access and usage charges imposed by your on-line service will apply. 4. Sweepstakes Random Drawing: One Grand Prize winner will be selected in a random drawing from among all eligible entries received. Drawing will be conducted on or about 4/2/2009, by Don Jagoda Associates, Inc., an independent judging organization whose decisions are final and binding on all matters relating to the Sweepstakes. Odds of winning are dependent upon the number of eligible sweepstakes entries received.
5. Instant Win Verification: All instant winners are subject to verification of eligibility. If, due to an error of any kind, more winning prize messages are displayed, or more Instant Win prizes are claimed than are intended to be awarded according to Rule #6, the intended number of prizes will be awarded in a random drawing from among all verified prize claims received. In no event will the Sponsor be obligated to award more than the stated number of prizes.
6. Second Chance Random Drawing: Any unclaimed Instant Win prizes will be awarded in a Second Chance Random Drawing, to be conducted on or about 7/7/2009, from among all eligible entries received. Drawing will be conducted by Don Jagoda Associates, Inc., an independent judging organization whose decisions are final on all matters relating to this promotion. Odds of winning an Instant Win Prize in the Second Chance Drawing depend upon whether or not any of the Instant Win prizes are unclaimed/forfeited and the number of eligible entries received.
7. Prizes and Approximate Retail Values ("ARV"):
   1. Sweepstakes Grand Prize: One (1): A 3-day/2-night Spa Trip for winner and 3 guests to a sponsor-specified spa location in the U.S. Trip includes round-trip coach class air transportation from the major airport nearest winner’s home, hotel accommodations (double occupancy) and $500 spending money for winner (ARV: $10,000). Actual retail value of Grand Prize may vary due to Grand Prize winner’s residence and fares at time of travel. Airline carrier's regulations and conditions apply. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Grand Prize winner and his/her guests must possess valid travel documents (i.e., valid government issued photo ID, passport, etc.) in order to travel. Grand Prize winner and his/her travel companions (who must be 18 years of age or older) must travel together on the same itinerary. Certain restrictions and blackout dates may apply. Seat selection and timing of trip subject to availability and confirmation of reservations. No refunds or credit for changes are allowed. All other expenses and costs, not expressly listed above, including, but not limited to, taxes, tips, entertainment, transfers, and transportation to airport to and from winner’s home residence are the winner’s sole responsibility.
   2. Instant Win Prizes and Approximate Odds of Winning: (10) Prizes – A Nintendo® Wii™ and a Wii Fit™ (ARV $500 each), 1:30,000. (100) Prizes - A gym bag, pair of wristbands and water bottle (ARV $36 each), 1:3,000. (50) Prizes – A quick drying athletic shirt and Water Bottle (ARV $25 each), 1:6,000. (100) Prizes – A T-shirt (ARV $10 each), 1:3,000. (50) Prizes – A sponsor-specified Metamucil Product (ARV $13 each), 1:6,000. (50) Prizes – A water bottle (ARV $5 each), 1:6,000.
      
      Prizes are nontransferable and no cash substitution is allowed except by the Sponsor, who reserves the right to award a prize of equal or greater value if advertised prize (or portion of prize) is unavailable for any reason. Taxes, as applicable, related to the prize are the sole responsibility of winner. All other expenses and costs not expressly listed above are the winner’s sole responsibility. Limit one Instant Win prize per person.
8. Winner Notification: Potential Grand Prize winner will be notified by phone, mail and/or e-mail. Potential Grand Prize Winner will be required to sign and return an Affidavit of Eligibility, Release of Liability/Publicity Release (except where prohibited by law) within ten (10) days of notification attempt or the Grand Prize will be forfeited and alternate winner may be determined. Travel companions of Grand Prize Winner (or his/her parent or legal guardian if travel companion is deemed a minor in his/her state of residence) will be required to execute a Release of Liability/Publicity Release (where legal) prior to departure. Return of prize or prize notification as undeliverable may result in disqualification and an alternate Grand Prize winner will be selected. 1099 tax statements will be filed with the IRS for any winner whose prize value is or exceeds $600
9. General Rules: By participating in the Promotion, Entrants agree to be bound by these Official Rules and the decisions of the judges. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Participating in the Promotion constitutes permission to the Sponsor and its agencies and designees to use participants’ names, biographical information, pictures/portraits, likenesses and/or voices, photos and submitted songs, for purposes of advertising and trade without further compensation or limitation, unless prohibited by law. The Sponsor, its Agencies and Administrators are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Promotion or by any human error which may occur in the processing of the entries/game plays in the Promotion or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with the Promotion. In the event of a dispute as to any registration or play, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder of the email address associated with the registration/game play. Proof of entering information via the Promotion Website does not constitute proof of delivery or receipt of such information. Sponsor and/or its Administrator (as identified in these Official Rules) is not responsible for the failure of any email or Entry to be received by Sponsor/Administrator on account of technical problems or congestion on the internet or at any website. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Promotion or Promotion Website; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, then the Sponsor reserves the right at its sole discretion to end the Promotion, determine the Grand Prize winners from among all eligible entries received prior to cancellation, and award only the Instant Win prizes claimed prior to termination, or cancel the Promotion in its entirety. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, game plays. By participating in the Promotion, the entrant agrees that Sponsor, its respective parents, subsidiaries, affiliated companies, agents, retailers, advertising and promotion agencies, and all of their respective shareholders, officers, directors, employees and assigns, members, representatives and agents, will have no liability whatsoever for, and will be held harmless by Entrant for any liability for any bodily injury, loss, cost or damages of any kind to persons, including death and property, damages sustained due in whole or in part, directly or indirectly, from Entry creation, the acceptance, possession, use or misuse of the prize or parts thereof, if applicable or participation in the Promotion or participation in any Promotion or related activity. Sponsor shall not be responsible nor liable for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carriers, hotels or others providing services or accommodations, including loss or damage to baggage. By entering the Promotion, you hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents. The Promotion and the Official Rules shall be exclusively governed by and construed in accordance with the laws of the state of Ohio without regard to conflicts of law provisions. Entrants submit to exclusive personal jurisdiction in New York and agree that any dispute shall be brought in the state and federal courts in Ohio.
